By accessing and using the Horizon Analytic Studios, LLC website, software products, or services (collectively, the "Services"), you accept and agree to be bound by the terms and conditions of this agreement. If you do not agree to these terms, please do not use our Services.

Age Requirement: You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement.

Acceptance: By purchasing, downloading, or using our software products, or by clicking "I Agree," "Download," or similar buttons, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

Updates to Terms: We may update these Terms from time to time. Your continued use of our Services after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

2. Use License

2.1 Website License

You are granted a limited, non-exclusive license to access and view the content on this website for informational purposes. This license does not include the right to download (except for page caching), modify, reproduce, or distribute any content without our prior written consent.

2.2 Software Product Licenses

Software products purchased or downloaded from Horizon Analytic Studios, LLC are governed by their respective license agreements:

  • Commercial Software: Licensed under our End User License Agreement (EULA), which is presented at the time of purchase or download. Commercial licenses permit use for personal and business purposes in accordance with the license terms.
  • Open-Source Software: Licensed under their stated open-source licenses (e.g., MIT, Apache 2.0, GPL). The applicable license is included with each open-source project in the LICENSE file and/or on the project's repository page.
  • Trial Software: Subject to the terms of the EULA with additional limitations on duration and functionality as specified at the time of download.

2.3 General Restrictions

Unless expressly permitted by the applicable license agreement, you may not:

  • Copy, modify, or create derivative works of our proprietary materials
  • Reverse engineer, decompile, or disassemble any software (except as permitted by law)
  • Remove or alter any copyright, trademark, or proprietary notices
  • Redistribute, sell, or sublicense any materials without authorization

3. Service Availability

3.1 Website and Online Services

We strive to provide continuous availability of our website and online services but cannot guarantee uninterrupted access. Our services may be temporarily unavailable due to scheduled maintenance, system updates, technical issues, or circumstances beyond our control.

3.2 Software Products

Downloaded software products operate independently on your systems and do not require continuous internet connectivity for core functionality, except for features that explicitly require online access (such as license activation, update checks, or cloud-based features). We do not guarantee that software products will be compatible with all hardware, operating systems, or third-party software configurations.

3.3 Scheduled Maintenance

We endeavor to provide advance notice of scheduled maintenance when practical, typically through website announcements or email notifications to registered users. However, emergency maintenance may be performed without prior notice when necessary to protect the integrity or security of our services.

3.4 Data and Backups

For information about how we handle, store, and retain your data, including our backup practices, please refer to our Privacy Policy. You are responsible for maintaining your own backups of any data you input into or generate using our services or software products.

3.5 Modifications and Discontinuation

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the services, to the extent permitted by applicable law.

4. Payment Terms

4.1 Pricing and Fees

All prices for our software products are listed in US Dollars (USD) and are displayed on our website at the time of purchase. Prices are subject to change without notice, but any price changes will not affect orders that have already been completed.

4.2 One-Time Purchases

Commercial software products are sold as one-time purchases, granting you a perpetual license to use the software in accordance with our End User License Agreement (EULA). Full payment is required at the time of purchase. Your license becomes effective upon successful payment processing.

4.3 Payment Processing

Payments are processed by Stripe, Inc., a third-party payment processor. By making a purchase, you authorize Stripe to process your payment on our behalf. Stripe's use of your personal information is governed by the Stripe Privacy Policy. We accept major credit cards and other payment methods as displayed at checkout.

4.4 Taxes

Prices displayed do not include applicable taxes such as sales tax, VAT, or GST. You are responsible for paying any taxes applicable in your jurisdiction. Where required by law, applicable taxes will be calculated and added at checkout. For international customers, your financial institution may apply currency conversion fees, which are your responsibility.

4.5 Refund Policy

All sales are final. Due to the digital nature of our software products, we do not offer refunds or credits once a purchase has been completed and the software has been delivered. 4.6 Trial Software

Some software products offer free trial versions that allow you to evaluate the software before purchasing. Trial versions may have limited functionality or time restrictions as specified at the time of download. No payment information is required to access trial software. Trial licenses expire automatically at the end of the trial period, and you may choose to purchase the full version at that time.

4.7 Free and Open-Source Products

Certain software products are provided free of charge, including our open-source offerings. These products require no payment and are provided "as-is" under their respective open-source licenses. No refund policy applies to free products.

5. Prohibited Uses

You agree not to use our Services, website, or software products in any manner that violates these Terms or applicable law. The following activities are expressly prohibited:

5.1 Illegal Activities

  • Using our Services for any unlawful purpose or to facilitate illegal activities
  • Soliciting others to perform or participate in unlawful acts

5.2 Software-Specific Prohibitions

With respect to our software products, you may not:

  • Reverse engineer, decompile, or disassemble any software, except to the extent expressly permitted by applicable law that cannot be waived by contract
  • Attempt to discover source code, underlying algorithms, or proprietary methods
  • Circumvent, disable, or interfere with license verification, activation systems, or copy protection mechanisms
  • Share, distribute, or transfer license keys, activation codes, or login credentials to unauthorized parties
  • Use the software beyond the scope of your license (e.g., exceeding seat counts, using a personal license for commercial purposes, or deploying beyond licensed environments)
  • Redistribute, resell, rent, lease, or sublicense our commercial software without prior written authorization
  • Use our software or its outputs to develop competing products or services
  • Remove, alter, or obscure any copyright, trademark, or proprietary notices

5.3 API and Automated Access

When accessing our APIs, websites, or online services, you may not:

  • Use bots, crawlers, scrapers, or automated methods to access our Services beyond their intended use or in a manner that exceeds reasonable request volumes
  • Harvest, collect, or scrape data from our Services without authorization
  • Attempt to bypass, circumvent, or disable rate limiting, access controls, or authentication requirements
  • Access or use our APIs in any manner that could damage, disable, overburden, or impair our servers or networks
  • Use automated tools to create multiple accounts or to access Services on behalf of others without authorization

5.4 System Integrity and Security

  • Uploading or transmitting viruses, trojans, worms, malware, or any other malicious or harmful code
  • Attempting to gain unauthorized access to our Services, systems, networks, or data
  • Probing, scanning, or testing system vulnerabilities without explicit written authorization
  • Interfering with or disrupting the integrity or performance of our Services
  • Intercepting, monitoring, or tampering with data transmissions without authorization
  • Infringing upon or violating our intellectual property rights or the intellectual property rights of others

5.5 Impersonation and Misrepresentation

  • Impersonating any person, company, or entity, including Horizon Analytic Studios, LLC
  • Falsely claiming affiliation with, endorsement by, or partnership with us
  • Creating fake accounts or misrepresenting your identity
  • Using our trademarks, logos, or branding without authorization

5.6 Export Compliance

You agree to comply with all applicable export control laws and regulations, including U.S. Export Administration Regulations. You may not download, export, or re-export our software or technical data to any country, individual, or entity that is subject to U.S. sanctions or export restrictions, or use our software for any purpose prohibited by such laws, including the development of weapons or nuclear technology.

5.7 Enforcement

We reserve the right to investigate suspected violations and take appropriate action, including terminating your access to our Services, disabling your license, removing content, and reporting violations to law enforcement authorities. Violations may also result in civil or criminal liability.

6. Disclaimer of Warranties

6.1 General Disclaimer

To the maximum extent permitted by applicable law, the Services, software, website, and all materials are provided "as is" and "as available" without warranty of any kind, express or implied. We make no representations or warranties of any kind regarding the completeness, accuracy, reliability, suitability, or availability of our Services.

6.2 Specific Disclaimers

We specifically disclaim all implied warranties, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the software will be uninterrupted, error-free, secure, or free of viruses or other harmful components
  • Warranties regarding the accuracy, reliability, timeliness, or completeness of any data, analytics, or information provided by the software
  • Warranties of compatibility with any hardware, operating system, or third-party software
  • Warranties that the software will meet your specific requirements or achieve any particular results

6.3 Third-Party Services and Integrations

Our software may integrate with or rely upon third-party services, APIs, or components. We are not responsible for examining or evaluating the content, accuracy, completeness, availability, or reliability of any third-party services. We shall not be liable for any third-party service interruptions, API changes, data transmission errors, security incidents originating from third-party providers, or any actions, errors, or omissions of third-party service providers. Your use of third-party services is governed by the respective terms and privacy policies of those providers.

6.4 Data and Analytics Accuracy

Data and analytics provided by our software, including reports, visualizations, and calculated metrics, are for general informational purposes only. We do not guarantee the accuracy, completeness, timeliness, or reliability of any data or analytics output. You are solely responsible for verifying the accuracy of any data or analytics before making business decisions, maintaining backup copies of your original data, and ensuring data inputs meet the software's requirements. The software should not be relied upon as the sole basis for critical business, financial, legal, or safety decisions without independent verification.

6.5 Performance and System Compatibility

We do not warrant that the software will be compatible with all hardware configurations, operating systems, or third-party software. System requirements listed on our website represent minimum specifications and do not guarantee optimal performance. We make no guarantees regarding specific performance benchmarks, processing speeds, or that the software will function identically across all supported platforms or continue to be compatible with future system updates.

6.6 Suitability for Purpose

We make no warranty that the software is suitable for your particular use case, industry requirements, or intended purpose. You are solely responsible for evaluating whether the software meets your needs before purchase. We recommend utilizing any available trial versions to assess suitability.

6.7 Beta, Trial, and Free Products

Beta releases, trial software, and free products are provided "as is" without warranty of any kind. Such products may contain bugs, errors, or incomplete features. We may modify, discontinue, or terminate such offerings at any time without notice or liability.

7. Limitation of Liability

7.1 Exclusion of Damages

To the maximum extent permitted by applicable law, in no event shall Horizon Analytic Studios, LLC, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, business, goodwill, or anticipated savings
  • Loss of data, data corruption, or cost of data recovery
  • Business interruption or loss of business opportunity
  • Cost of procurement of substitute goods or services

Whether arising from contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

7.2 Liability Cap

To the maximum extent permitted by applicable law, our total cumulative liability arising out of or related to these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the greater of: (a) the total amount paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred U.S. dollars ($100.00). For free products and trial software, our total liability shall not exceed fifty U.S. dollars ($50.00).

7.3 Exceptions

The limitations and exclusions in this Section 7 do not apply to liability arising from:

  • Either party's gross negligence or willful misconduct
  • Fraud or fraudulent misrepresentation
  • Death or personal injury caused by negligence
  • Your breach of Section 5 (Prohibited Uses)
  • Your payment obligations under these Terms
  • Violations of applicable law

7.4 Basis of Bargain

You acknowledge and agree that we have set our prices and entered into these Terms in reliance upon the disclaimers of warranty, limitations of liability, and other provisions relating to allocation of risk set forth herein, and that such provisions constitute an essential basis of the bargain between the parties.

7.5 Failure of Essential Purpose

The limitations of liability and exclusions of damages set forth in these Terms shall apply notwithstanding the failure of essential purpose of any limited remedy and regardless of whether we have been advised of the possibility of such damages.

7.6 Consumer Rights

If you are a consumer, some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for certain types of damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law. Nothing in these Terms affects any statutory rights that cannot be waived or limited by contract.

7.7 Time Limitation on Claims

Any claim arising out of or relating to these Terms must be brought within one (1) year after the cause of action accrues, or such claim shall be permanently barred. This limitation applies to the maximum extent permitted by applicable law.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Any disputes arising from or related to these Terms shall be resolved exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of such courts.

Small Claims Exception: Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the jurisdictional limits of such court.

9. Changes to Terms

9.1 Right to Modify

We reserve the right to modify these Terms at any time to reflect changes to our software, legal requirements, or business practices. Changes will be effective upon posting the updated Terms on our website with a new effective date.

9.2 Material vs. Non-Material Changes

Material changes are modifications that significantly affect your rights or obligations, including but not limited to:

  • Changes to license scope, usage restrictions, or permitted uses
  • Modifications to data handling, privacy, or security practices
  • Changes to warranty disclaimers or liability limitations
  • Price increases for commercial licenses or new fees
  • Changes to intellectual property rights or attribution requirements
  • Modifications to dispute resolution or governing law provisions

Non-material changes include bug fixes, security patches, documentation updates, corrections to spelling or formatting errors, updates to contact information, and technical improvements that do not alter your rights or obligations.

9.3 Notification Methods

For material changes, we will provide at least 30 days' advance notice through one or more of the following methods:

  • Posting updated Terms on our website with a prominent notice and new effective date
  • Including notice in software release notes
  • For commercial license holders: Email notification to the address provided at the time of purchase
  • Announcement on our blog or newsletter (if applicable)

Non-material changes may take effect immediately upon posting, with notice provided in release notes or on our website.

9.4 Acceptance of Changes

For material changes, your continued use of our Services or software after the effective date constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must discontinue use of the affected Services or software before the effective date.

9.5 Version-Specific Terms

Each software version is governed by the Terms in effect on its release date. You may continue using earlier versions of our software under the Terms that were in effect when that version was released. Previous versions of these Terms will remain available upon request.

9.6 Your Rights Upon Material Changes

If we make a material change that negatively impacts your rights or increases your obligations, you may discontinue use of the software. For commercial license holders who disagree with material changes, please contact us at support@horizonanalytic.com within 30 days of the change's effective date to discuss your options. Open-source software remains available under its original open-source license, which cannot be revoked for versions already released under that license.

10. Intellectual Property

10.1 Our Intellectual Property

All content, software, materials, features, and functionality on this website and in our products, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software code, and the design, selection, and arrangement thereof, are owned by Horizon Analytic Studios, LLC, our licensors, or other providers of such material, and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Our name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Horizon Analytic Studios, LLC or its affiliates. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on this website are the trademarks of their respective owners.

10.2 User Feedback and Submissions

If you submit or transmit any feedback, suggestions, ideas, enhancement requests, recommendations, or other information relating to our Services or products ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Feedback in any media now known or later developed, for any purpose, without attribution or compensation to you.

You represent and warrant that you own or control all rights to any Feedback you submit, that such Feedback does not violate the rights of any third party, and that you waive any moral rights you may have in such Feedback.

Our software products may include open-source software components, which are subject to their respective open-source licenses (e.g., MIT, Apache 2.0, GPL). A list of open-source components and their applicable licenses is available in the NOTICE or LICENSE files included with each software distribution, or upon request by contacting us.

Nothing in these Terms limits your rights under, or grants you rights that supersede, any applicable open-source license terms. In the event of a conflict between these Terms and any open-source license applicable to a specific component, the open-source license shall govern with respect to that component.

10.4 Copyright Complaints

We respect the intellectual property rights of others. If you believe that any content on our website or in our products infringes your copyright, please send a written notice to support@horizonanalytic.com that includes: (a) identification of the copyrighted work claimed to have been infringed; (b) identification of the allegedly infringing material and its location; (c) your contact information; (d) a statement that you have a good faith belief that use of the material is not authorized; and (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner.

11.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Horizon Analytic Studios, LLC, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • Your violation of these Terms of Service or any applicable law or regulation
  • Your violation of any third-party rights, including intellectual property rights, privacy rights, or proprietary rights

11.2 Defense and Settlement

12. Termination

12.1 Termination by You

You may terminate your relationship with us at any time by discontinuing your use of our website and Services. For software products, termination of your license is governed by the End User License Agreement (EULA). To terminate a software license, you must uninstall the software and destroy all copies in your possession.

12.2 Termination by Us

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Grounds for termination include, but are not limited to:

  • Violation of these Terms or our EULA
  • Engaging in any Prohibited Uses (Section 5)
  • Conduct that we reasonably believe is harmful to us, other users, or third parties
  • Request by law enforcement or other government agencies
  • Extended periods of inactivity (for services that may require active use)
  • Nonpayment of any fees owed to us

12.3 Effect of Termination

Upon termination of your access to our Services or your software license:

  • Your right to access and use our website and Services terminates immediately
  • Any licenses granted to you under these Terms or the EULA are revoked
  • You must cease all use of our software and destroy all copies in your possession
  • You remain liable for any outstanding payments or obligations accrued prior to termination
  • We may retain certain information as required by law or for legitimate business purposes, as described in our Privacy Policy

Termination shall not affect your obligation to pay any fees or other amounts accrued prior to termination, nor shall it entitle you to any refund of fees already paid.

12.4 Survival

The following sections shall survive termination of these Terms: Section 6 (Disclaimer of Warranties), Section 7 (Limitation of Liability), Section 8 (Governing Law), Section 10 (Intellectual Property), Section 11 (Indemnification), Section 12.3 (Effect of Termination), Section 12.4 (Survival), and Section 13 (Contact Information), as well as any other provisions that by their nature should survive termination.
